Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and AcreWatch, a DBA of Midwest Drones LLC(“AcreWatch,” “we,” “us,” or “our”) governing your access to and use of our website and the associated operations platform (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Drone services we perform may also be governed by a separate written service agreement, which controls if it conflicts with these Terms.

AcreWatch provides aerial-intelligence and drone-operations services and software for planning, scheduling, capturing, and delivering mission data. Flight operations are subject to applicable law and regulation (including U.S. Federal Aviation Administration rules), airspace authorization, weather, and site conditions, and may be rescheduled or adjusted accordingly.

Some features require an account. You agree to provide accurate information, keep your credentials confidential, and remain responsible for activity that occurs under your account. Accounts are issued in roles (such as administrator, pilot, and client) with different levels of access. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Services, other accounts, or our systems;
• Interfere with or disrupt the integrity or performance of the Services;
• Upload content you do not have the rights to, or that infringes the rights of others; or
• Reverse engineer or misuse the Services except as permitted by law.

As between you and AcreWatch, you retain ownership of the data and materials you provide and of the deliverables prepared for you, subject to any separate service agreement and to payment of applicable fees. You grant AcreWatch a license to use, host, process, and transmit that data as needed to provide the Services. You represent that you have the necessary rights and authorizations for any sites, property, and data you ask us to access or process.

The Services, including the website, software, design, and the AcreWatch name and logo, are owned by AcreWatch or its licensors and are protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Services.

The Services may integrate with third-party services (for example, Google Calendar, mapping and imagery providers, and cloud infrastructure). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. Data and analytics are provided for informational purposes and are not a substitute for your own professional judgment.

To the maximum extent permitted by law, AcreWatch and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amounts you paid to AcreWatch for the Services giving rise to the claim in the twelve months preceding the event.

You agree to indemnify and hold harmless AcreWatch and its affiliates from claims, damages, liabilities, and expenses arising out of your use of the Services, your content or data, or your violation of these Terms or applicable law.

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms or if necessary to protect the Services. Provisions that by their nature should survive termination will survive.

These Terms are governed by the laws of the state in which Midwest Drones LLC is organized, without regard to its conflict-of-laws principles. The courts located in that state will have jurisdiction over disputes arising from these Terms, except where a separate service agreement provides otherwise.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
